Position Purpose:

  • To provide comprehensive Company Secretariat services and support within the Governance function to ensure a high standard of corporate governance adherence by TFR Committees and its members;

Position outputs:

  • Support to the Chief Executive and the General Managers in their governance responsibilities as members of TFR Exco and other governance structures;
  • Provide guidance and advice to the Chief Executive and General Managers on matters of ethics and good governance;
  • Responsible for the compilation of meeting papers and meeting packs;
  • Minute all committee meetings;
  • Develop and implement strategic objectives for Company Secretariat function;
  • Ensure effective functioning of governance structures and maintain a high standard of corporate governance across the division;
  • Develop Terms of Reference for all committees;
  • Develop and implement performance evaluation tools for all committees;
  • Manage and provide oversight over the maintenance of all statutory records and submission of statutory returns where required;
  • Monitor compliance with statutory provisions relevant to the performance of Company Secretariat functions;
  • Manage and cascade the approved Delegation of Authority Framework, including Special Delegations of Authority;
  • Manage and provide oversight on the development and maintenance of an effective and efficient records management system to ensure safe record keeping and storage of all secretariat related documentation.
  • To manage custodianship of the TFR Gift Register;
  • To manage the Declarations of Interest Register for TFR;
  • Provide accurate written and verbal opinions to management regarding issues of a secretariat nature;
  • Develop, manage and maintain relationships with company secretaries of other ODs to enable Transnet Freight Rail to ensure consistency of application of company secretariat procedures and practices;
  • Induct and train members of committees;
  • Develop and manage a group of assistant secretaries and support staff to achieve departmental performance objectives and

individual development.Qualifications & Experience:

  • LLB or a relevant law degree
  • Relevant qualification from the Institute of Company Secretaries (CIS)
  • Minimum of 8-10 years Company Secretariat experience of which 5 years is spent as Company Secretary on a

management levelCompetencies:
